Terms of Service
These Terms of Service govern your access to and use of GuestCloudy, a software-as-a-service platform for creating guest portals, information portals, and QR portals for hospitality and service businesses. GuestCloudy is provided by [Company Legal Name], located at [Company Address].
By creating an account, starting a trial, activating a subscription, accessing the dashboard, publishing a portal, or otherwise using GuestCloudy, you agree to these Terms. If you use GuestCloudy on behalf of a business or organization, you confirm that you have authority to bind that business or organization to these Terms.
1. The Service
GuestCloudy allows users to create and manage projects, guest portals, public portal links, QR-code destinations, uploaded files, images, menus, business information, portal appearance settings, previews, and related administrative features.
GuestCloudy provides the platform and hosting tools. You are responsible for the accuracy, legality, quality, and suitability of the content you publish to guests or other end users.
2. Accounts and Access
You must provide accurate account information and keep your login credentials secure. You are responsible for all activity under your account and for ensuring that team members, collaborators, and invited users comply with these Terms.
You must notify us promptly at [Support Email] if you suspect unauthorized access, misuse, or a security issue involving your account or project.
3. Project-Based Subscriptions
GuestCloudy subscriptions are project-based, not account-based. A single account may manage multiple projects, and each project may require its own trial, paid subscription, billing status, and public access status.
When a project is inactive, expired, suspended, or unpaid, public guest access to that project's portal or QR links may be disabled or limited. The dashboard, editing tools, and preview tools may remain available so you can manage the project, but we are not required to keep public access active unless the project has an active trial or paid subscription.
4. Free Trial
GuestCloudy may offer a 7-day free trial per project. The trial does not require a payment card and does not automatically convert into a paid subscription.
When the trial expires, public guest access may be disabled until you activate a paid plan. Trial availability, duration, and eligibility may be changed, limited, or withdrawn to prevent abuse or to reflect product changes.
5. Paid Plans, Billing, and Paddle
Paid plans may include monthly subscriptions, yearly subscriptions, and promotional pricing such as a first-month monthly discount. Prices, currencies, taxes, plan features, and renewal terms are shown at checkout or inside the billing flow before purchase.
Payments are processed through Paddle. Depending on the integration and checkout terms shown to you, Paddle may act as merchant of record, reseller, payment processor, billing provider, tax handler, and/or customer billing support provider for your purchase. [Paddle-specific merchant/payment wording if needed]
By purchasing a paid plan, you authorize the applicable recurring subscription charges, taxes, and fees according to the plan and billing period selected. You are responsible for keeping billing information current and for reviewing checkout, invoice, and renewal details.
6. Renewals, Cancellation, and Failed Payments
Paid subscriptions renew automatically unless cancelled before the renewal date. You can cancel a subscription through the account billing area, Paddle's customer portal if available, or by contacting [Support Email].
Cancellation stops future renewals but does not automatically refund past payments. After cancellation or payment failure, public guest access for the affected project may remain active until the end of the paid billing period, enter a grace period, or be disabled, depending on the billing state and our product rules.
7. Customer Content and License
You retain ownership of the content you upload, create, or publish through GuestCloudy, including text, images, menus, files, business information, branding, and portal configuration.
You grant GuestCloudy a limited, worldwide, non-exclusive license to host, store, copy, process, transmit, display, and adapt your content only as needed to provide, maintain, secure, improve, and support the Service, including public portal display, previews, QR destinations, backups, and technical operations.
You represent that you have all rights and permissions needed to upload and publish your content and that your content does not violate laws, third-party rights, privacy rights, intellectual property rights, or contractual obligations.
8. Acceptable Use
You must not use GuestCloudy to upload, publish, link to, or distribute unlawful, misleading, fraudulent, harmful, infringing, abusive, hateful, sexually exploitative, malware-related, spam-related, or privacy-invasive content. You must not use the Service to impersonate others, collect sensitive data unlawfully, interfere with systems, bypass access controls, overload infrastructure, or reverse engineer the platform except where legally permitted.
You are responsible for ensuring that public links and QR codes are placed and used lawfully, safely, and appropriately. GuestCloudy is not responsible for physical signage, printed QR materials, guest communications, or customer service promises made by your business.
9. Service Availability and Changes
We aim to provide a reliable Service, but we do not guarantee uninterrupted, error-free, or permanent availability. Maintenance, third-party outages, security incidents, hosting issues, payment-provider issues, changes in law, or product updates may affect availability.
We may modify, add, remove, suspend, or discontinue parts of the Service. Where changes materially affect paid use, we will try to provide reasonable notice when practical.
10. Suspension and Termination
We may suspend or terminate accounts, projects, public portals, QR links, files, or access if we reasonably believe there is non-payment, security risk, abuse, unlawful content, violation of these Terms, risk to guests or third parties, or legal requirement.
You may stop using GuestCloudy at any time. Termination does not remove payment obligations already incurred, and some records may be retained as required for billing, tax, security, legal, or legitimate business purposes.
11. Intellectual Property
GuestCloudy, including its software, design, interface, workflows, documentation, branding, templates, and underlying technology, is owned by [Company Legal Name] or its licensors. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
You may not copy, resell, sublicense, or commercially exploit the Service except as expressly allowed by these Terms or a written agreement with us.
12. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.
GuestCloudy does not provide legal, tax, hospitality compliance, accessibility compliance, emergency communication, payment advisory, or professional advice. You are responsible for verifying that your portal content and business use comply with laws and industry requirements that apply to you.
13. Limitation of Liability
To the maximum extent permitted by law, [Company Legal Name] will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, loss of goodwill, business interruption, loss of data, guest claims, or costs of substitute services.
To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid to GuestCloudy for the affected project during the three months before the event giving rise to the claim, or [Liability Cap Amount] if required by applicable law or commercial policy.
14. Indemnification
You agree to defend, indemnify, and hold harmless [Company Legal Name], its officers, directors, employees, contractors, service providers, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from your content, your use of GuestCloudy, your public portals or QR materials, your violation of these Terms, or your violation of laws or third-party rights.
15. Governing Law and Contact
These Terms are governed by the laws of [Country / Governing Law], without regard to conflict-of-law rules, unless mandatory consumer or local laws require otherwise.
Questions about these Terms can be sent to [Support Email].
Privacy Policy
This Privacy Policy explains how [Company Legal Name] collects, uses, shares, and protects personal data when you use GuestCloudy. It applies to account users, project collaborators, website visitors, and people who interact with public guest portals where GuestCloudy processes data.
If your business uses GuestCloudy to publish guest-facing content or collect guest interactions, you may be the data controller for the personal data you decide to place in or collect through your portal. GuestCloudy generally acts as a service provider or processor for that project data, except where we process data for our own account, security, billing, analytics, or legal purposes.
1. Data We Collect
We may collect account data such as name, email address, login information, language preference, account settings, team invitations, authentication events, and support communications.
We collect project and portal content that you upload or create, including project names, portal text, menus, images, files, business information, links, QR destinations, branding settings, page structure, translations, preview data, and publication status.
We may collect technical data such as IP address, browser type, device information, operating system, referring pages, pages viewed, timestamps, error logs, performance data, security logs, cookie identifiers, and similar diagnostic information.
Billing and payment data is handled primarily by Paddle. We may receive billing-related records such as plan, subscription status, transaction identifiers, invoice references, billing email, country, tax status, renewal status, cancellation status, and payment outcome. We do not intentionally store full payment card numbers.
2. Cookies and Analytics
GuestCloudy may use cookies, local storage, session storage, and similar technologies to keep users signed in, remember preferences, protect accounts, understand product usage, diagnose issues, improve performance, and measure website or product analytics.
Where required by law, we will request consent for non-essential cookies or analytics. Browser settings may allow you to block or delete cookies, but some Service features may not work correctly without essential cookies.
3. How We Use Data
We use data to provide and operate the Service, create accounts, authenticate users, manage projects, host portal content, display public portals, generate and route QR links, provide previews, process support requests, maintain security, prevent abuse, manage subscriptions, comply with legal obligations, improve product reliability, and communicate service updates.
We may also use aggregated or de-identified information to understand usage patterns, improve features, and develop new product capabilities.
4. Legal Bases
Where GDPR, UK GDPR, or similar laws apply, our legal bases may include performance of a contract, legitimate interests in operating and securing the Service, compliance with legal obligations, consent where required, and steps taken at your request before entering into a contract.
5. Sharing and Processors
We may share data with trusted service providers that help us operate GuestCloudy, including hosting, database, file storage, email delivery, analytics, monitoring, security, customer support, and payment or billing providers.
Paddle processes billing and payment-related data according to its own applicable terms and privacy documentation. Depending on the checkout structure, Paddle may act as an independent controller, merchant of record, reseller, payment processor, or billing provider for payment-related data.
We may disclose data if required by law, legal process, regulators, tax authorities, payment disputes, security investigations, enforcement of our Terms, protection of rights and safety, or business transfers such as merger, acquisition, financing, reorganization, or sale of assets.
6. Storage and Retention
We retain personal data only as long as reasonably necessary for the purposes described in this Privacy Policy, including providing the Service, maintaining accounts and projects, resolving disputes, enforcing agreements, meeting tax and accounting requirements, detecting abuse, and complying with legal obligations.
Project content may remain stored while the project or account exists, while a subscription or trial is active or recoverable, or while retention is needed for backups, security, billing, legal, or operational reasons. Backup copies may persist for a limited period before deletion through normal backup cycles.
7. Security
We use reasonable technical and organizational measures designed to protect personal data against unauthorized access, loss, misuse, alteration, and disclosure. No online service can guarantee absolute security, and you are responsible for using strong credentials, limiting team access, and keeping your devices and account information secure.
8. International Transfers
GuestCloudy and its service providers may process data in countries other than your own. Where required, we rely on appropriate safeguards such as contractual protections, standard contractual clauses, adequacy decisions, or other lawful transfer mechanisms.
9. Your Rights
Depending on your location, you may have rights to access, correct, delete, restrict, object to, or receive a copy of your personal data, and to withdraw consent where processing is based on consent. You may also have the right to lodge a complaint with a data protection authority.
To exercise rights, contact [Support Email]. We may need to verify your identity and may refuse or limit requests where allowed by law, including where data must be retained for security, billing, legal, tax, or legitimate business reasons.
10. Customer Responsibilities for Portal Data
If you publish guest information, staff contact details, menus, images, documents, links, or other content through GuestCloudy, you are responsible for ensuring you have a lawful basis and required permissions for that content. You are also responsible for providing any privacy notices to your own guests or customers where required.
11. Children's Privacy
GuestCloudy is not intended for children and is not designed to knowingly collect personal data from children. If you believe a child has provided personal data to us, contact [Support Email] so we can review and take appropriate action.
12. Changes and Contact
We may update this Privacy Policy from time to time. If changes are material, we will take reasonable steps to notify users through the Service, email, or the website.
Questions about this Privacy Policy or data protection requests can be sent to [Support Email].
Refund Policy
This Refund Policy explains how refunds, cancellations, trials, renewals, and billing disputes work for GuestCloudy project-based subscriptions.
1. 7-Day Free Trial
GuestCloudy may offer a 7-day free trial per project. The trial does not require a card and does not automatically charge you when it ends. If you do not activate a paid plan after the trial, public guest access for that project may be disabled, while dashboard access, editing, and preview may remain available.
2. Cancellation
You may cancel a paid subscription before the next renewal date through the billing area, Paddle's customer portal if available, or by contacting [Support Email]. Cancellation prevents future renewal charges but does not automatically refund the current billing period.
Because subscriptions are project-based, cancelling one project subscription does not necessarily cancel subscriptions for other projects under the same account.
3. Monthly Subscription Refunds
Monthly subscription fees are generally non-refundable once the billing period has started, unless required by law or unless we approve an exceptional refund. If you cancel a monthly plan, the project may remain active until the end of the paid billing period unless the subscription is otherwise suspended or terminated under the Terms of Service.
4. Yearly Subscription Refunds
Yearly subscription fees are generally non-refundable once the billing period has started, unless required by law or unless we approve an exceptional refund. If we approve an exceptional yearly refund, we may deduct payment processing costs, taxes, discounts, chargeback costs, or the value of time already used, where permitted by law.
5. First-Month Discounts and Promotions
If a first-month discount or promotional price applies, it applies only to the period and plan shown at checkout. After the discounted period, the subscription renews at the regular price shown in the billing flow unless cancelled before renewal.
Discounts have no cash value and are not paid out as refunds, credits, or partial credits unless required by law or expressly stated in the promotion terms.
6. Renewals and Partial Refunds
Recurring subscriptions renew automatically unless cancelled before the renewal date. We generally do not provide partial refunds, prorated refunds, or credits for unused time after cancellation, downgrades, non-use, delayed setup, unused QR codes, unpublished portals, or failure to use available features.
This does not limit any mandatory rights you may have under applicable consumer protection law.
7. Exceptional Refunds
We may consider exceptional refunds at our discretion for issues such as duplicate charges, clear billing mistakes, prolonged verified service outage affecting paid public access, or other circumstances we consider fair and reasonable.
Refund requests may be denied where the Service was available, the subscription renewed according to disclosed terms, the project was unused by choice, cancellation was requested after renewal, or the account violated the Terms of Service.
8. Duplicate Charges and Billing Errors
If you believe you were charged twice, charged incorrectly, or billed for the wrong project or plan, contact [Support Email] as soon as possible with your account email, project name, Paddle transaction or invoice reference, charge date, and a short description of the issue.
9. Paddle Disputes and Chargebacks
Because billing is processed through Paddle, refunds, chargebacks, tax corrections, and payment disputes may be handled through Paddle's systems and policies. We may need to coordinate with Paddle before approving or completing a refund.
If you open a chargeback or payment dispute, public access or billing changes for the affected project may be suspended while the dispute is reviewed.
10. How to Request a Refund
To request a refund, contact [Support Email] within a reasonable time after the charge. Include your account email, project name, plan type, charge date, Paddle invoice or transaction reference if available, and the reason for the request.
Approved refunds are usually returned to the original payment method through Paddle. Processing time depends on Paddle, your payment method, your bank, and applicable payment networks.
